1. Scope

These Terms of Use (the "Terms") apply to Mimizuku (the "App"), Mimizuku Premium, related account features, model downloads, support, distribution pages, and any services attached to them.

By installing, launching, using, purchasing, or signing in to the App, you agree to these Terms. If you do not agree, do not use the App. Minors may use the App only with the consent and supervision of a parent or legal guardian.

2. Definitions

In these Terms:

3. Nature Of The App

The App is a local-first media player that helps users play local media, generate transcripts, translate transcripts, show subtitles, manage transcripts, browse media, and export transcript/subtitle files.

Ordinary playback, audio extraction, transcription, translation, subtitle display, and transcript management are generally processed on your device. External communication, third-party processing, or file downloads may occur when you:

4. Eligible Media And User Responsibility

Use the App only with media that you have the right to play, transcribe, store, edit, translate, subtitle, export, share, or publish.

You are responsible for not violating copyright, moral rights, publicity rights, privacy rights, trade secrets, confidentiality obligations, employment agreements, streaming-service terms, cloud-storage terms, other third-party rights, or applicable laws. The App does not verify rights clearance, consent, storage legality, international-transfer legality, or publication legality for User Content.

5. Account, Login, And Security

Premium, purchase restoration, subscription management, account deletion, email login, and some other features may require Account login.

You are responsible for managing your email address, Google account, Apple ID, one-time codes, devices, operating-system accounts, and authentication credentials. Except where caused by the provider's intentional misconduct or gross negligence, the provider is not responsible for losses caused by third-party misuse, shared devices, email forwarding, shared OS accounts, phishing, or leaked one-time codes.

If you suspect unauthorized use or credential leakage, contact support promptly. The provider may suspend, limit, require verification for, or terminate Accounts or Premium access for security, fraud prevention, payment protection, legal compliance, or support reasons.

6. Transcription, Translation, Subtitles, And Generated Outputs

The App may generate transcripts, translations, subtitles, thumbnails, waveforms, metadata, and export files from audio or related information extracted from media. Generated Outputs may contain recognition errors, translation errors, omissions, duplicates, timing offsets, incorrect segmentation, misunderstood speakers or context, or inappropriate or inaccurate wording.

Generated Outputs are not official records, certificates, meeting minutes, legal evidence, medical records, identity-verification materials, financial advice, employment decisions, contract decisions, or substitutes for professional advice. If you use Generated Outputs for important decisions, verify them against the original audio or video and obtain professional review where appropriate.

You are responsible for storing, deleting, backing up, editing, sharing, publishing, exporting, and disclosing Generated Outputs.

7. Models And External Components

The App may use or bundle external components for transcription, translation, media processing, playback, audio extraction, and subtitle handling, including FFmpeg, libmpv, media_kit, mlx-whisper, faster-whisper, CTranslate2, transformers, sentencepiece, WhisperKit, whisper.cpp, Whisper-family models, translation models, Python runtimes, and other dependencies.

Model files and external components may be subject to their own licenses, terms, redistribution conditions, export controls, commercial-use conditions, model cards, NOTICE files, and source-offer obligations. If you add, replace, download, convert, distribute, or commercially use models or components, you are responsible for reviewing the applicable terms.

The provider does not guarantee continued availability, completeness, compatibility, security, performance, or operation in a particular environment for external components. The provider may change or stop the delivery method, storage location, supported operating systems, supported acceleration modes, or use conditions for models and dependencies for license, security, technical, legal, or business reasons.

8. Premium, Fees, Trials, And Subscriptions

Mimizuku Premium is an auto-renewing paid subscription. Premium includes the high-accuracy and highest-accuracy transcription models, transcript translation, export, and fullscreen live transcript described in the App. The free version includes basic playback, basic local transcription, and the Light/Fast and Standard models.

The direct-distribution version uses Stripe Billing. If Mimizuku is later offered through an app store, purchases through that channel are also governed by the store's terms and purchase system. Purchases, renewals, cancellations, refunds, restorations, receipts, taxes, payment methods, identity checks, and payment reviews are also governed by the applicable purchase channel.

The Japanese reference prices are JPY 490/month, tax inclusive, with a 7-day free trial and JPY 4,900/year, tax inclusive, with a 14-day free trial. Prices and availability outside Japan are limited to the countries or regions offered on the final Checkout screen and may vary by currency, tax, payment provider, exchange rate, promotion, platform fee, or display timing.

Free trials may be unavailable depending on user eligibility, purchase channel, region, promotion, or prior use. If you do not cancel before the trial ends, the selected plan will auto-renew. Before purchasing, review the final confirmation screen, Stripe Checkout, Stripe Billing Portal, store screen, and in-app display for the price, renewal interval, trial period, and cancellation terms.

9. Cancellation, Refunds, And Revocation

You may cancel future renewals through the Stripe Billing Portal, in-app flow, or store purchase-management flow for the channel where you purchased. After cancellation, Premium remains available until the end of the paid or trial period unless access is revoked for refund, chargeback, fraud, violation of these Terms, payment revocation, or other misuse.

For direct Stripe purchases, the voluntary refund period starts when Stripe successfully collects the first paid charge after any free trial; starting a free trial is not a paid charge. Requests received within 14 calendar days after that first paid charge are handled under the Refund Policy. Renewal charges, duplicate purchases, mistaken purchases, technical issues, long-term non-use, and region-specific statutory rights are reviewed under applicable law and the Refund Policy. Refunds may be refused or paused for abuse, Terms violations, fraud indicators, excessive misuse, chargebacks, or transactions already disputed with a payment provider.

App Store, Mac App Store, and other store refunds follow the applicable store procedures and decisions. The provider may not control store refund eligibility or timing.

If a refund, chargeback, payment failure, payment-provider revocation, subscription end, store revocation notice, or entitlement revocation is verified, Premium may stop, be limited, or be locked on the next online verification or server-side update. See the Refund Policy for details.

Deleting the App or requesting deletion of a Mimizuku Account does not itself cancel a Stripe or store subscription. Cancel the subscription through the Billing Portal or applicable store before requesting account deletion. Account deletion may remove the ability to use Premium even if a subscription remains active.

If plan changes are offered, the final change screen controls the effective date, trial eligibility, credits, prorations, and next charge. If no plan-change option is shown, cancel the current plan and subscribe to the other plan after the current access period ends.

10. Offline Use And Entitlement Cache

The App may cache the last verified paid-feature entitlement on your device so Premium features can continue for a limited time while entitlement verification is unavailable. The current design allows offline grace until 30 days after the verified trial or paid period ends.

Offline grace is a convenience for temporary verification failure; it is not a perpetual right to use Premium. If online verification later confirms expiration, refund, chargeback, fraud, cancellation, revocation, or violation of these Terms, Premium features will stop or be locked.

Transcripts and translations generated with Premium may remain stored after Premium expires, but viewing, regenerating, exporting, translating, or using fullscreen live transcript for Premium-only outputs may be locked until you rejoin Premium or restore rights. Transcripts generated with free models remain viewable.

11. Data Storage, Deletion, And Backup

The App may store settings, playback history, recent folders, favorites, transcripts, subtitles, translations, thumbnails, waveforms, logs, model files, Premium entitlement cache, and diagnostic information on your device, in operating-system app support, cache, or log directories, or in locations you select.

You are responsible for managing this data through in-app deletion, export, cache deletion, model deletion, log deletion, account deletion request, and operating-system file-management tools. Back up important media and Generated Outputs yourself.

Local data may be lost through app deletion, operating-system cleanup, cloud sync, external storage, security software, manual deletion, cache deletion, update failure, or insufficient storage.

12. Online-Only Files And Cloud Storage

Files in Dropbox, Proton Drive, iCloud Drive, OneDrive, Google Drive, or other cloud storage providers may not have a local copy on your device. When the App opens, probes, thumbnails, plays, or transcribes such files, the operating system or cloud provider may start downloading them.

You are responsible for deciding whether to open online-only files. The provider is not responsible for network usage, storage usage, sync state, file conflicts, cloud provider terms, or cloud provider behavior.

13. Export And External Use

The App may export transcripts and subtitles as TXT, JSON, SRT, VTT, or other supported formats. You are responsible for exported file content, destination, sharing, publication, deletion, backup, third-party disclosure, rights clearance, privacy compliance, and confidentiality.

Premium export features, translated exports, original/translation/bilingual output options, available formats, destination choice, filenames, encodings, and output contents follow the in-app display.

14. Prohibited Use

You must not:

15. Intellectual Property

Rights in the App, software, UI, logos, trademarks, documentation, distribution pages, source code, designs, settings files, server implementation, legal documents, and other materials created by the provider belong to the provider or the applicable rights holders.

Rights in User Content remain with you or the applicable rights holders. These Terms do not transfer ownership of User Content to the provider. However, information you intentionally send to the provider for support, diagnostics, account deletion, refunds, fraud investigation, or similar purposes may be used by the provider to the extent necessary for those purposes.

16. Support, Diagnostics, And Contact

Formal support requests are accepted through the contact email address. Do not send passwords, one-time codes, card numbers, identity documents, sensitive media, or sensitive transcript text.

Support may ask you to share diagnostic logs. Diagnostic logs may contain file paths, filenames, account information, or dependency error text. Review logs before sharing them.

17. Changes, Suspension, And Termination

The provider may change, suspend, or discontinue App features, specifications, supported operating systems, supported devices, models, dependencies, distribution methods, Premium content, prices, trials, support, server APIs, or these Terms for technical, security, license, legal, store-requirement, business, or operational reasons.

For material changes, the provider will give notice through in-app display, distribution pages, email, store listings, or another reasonable method before the change takes effect where required by law. Advance notice may not be possible for urgent security responses, legal compliance, store-requirement compliance, third-party-service outages, or force majeure. Continued use is not treated as consent where applicable law requires express consent.

18. Disclaimer Of Warranties

The App is provided "as is" and "as available." To the extent permitted by applicable law, the provider makes no warranties about the App, Premium, models, Generated Outputs, external components, distribution pages, or support, including that:

19. Limitation Of Liability

Except where caused by the provider's intentional misconduct or gross negligence, the provider is not liable for indirect, special, incidental, consequential, or punitive damages, lost profits, lost business opportunities, data loss, reputational harm, third-party claims, network fees, storage fees, cloud fees, or model-related damages arising from or related to use or inability to use the App.

Where liability cannot be fully excluded under applicable law, the provider's liability is limited to the greater of the amount you actually paid for the App during the 12 months immediately before the event causing the damage or JPY 1,000. This limitation does not apply where mandatory consumer law or other mandatory law does not permit it.

20. User Indemnity

To the extent permitted by applicable law, you will indemnify the provider for damages, costs, claims, disputes, government inquiries, and reasonable attorney fees arising from your breach of these Terms, violation of law, infringement of third-party rights, User Content, Generated Outputs, exports, or publications.

21. Export Controls, Sanctions, And International Use

You are responsible for complying with applicable export controls, sanctions, encryption regulations, regional restrictions, workplace rules, and school rules when using, exporting, re-exporting, providing, or sharing the App, models, external components, Generated Outputs, or exported files.

The App is an individually developed app provided from Japan. The provider does not guarantee suitability in every country or region, including foreign purchase rules, local tax rules, consumer protection, data protection, or store requirements.

22. Anti-Social Forces And Sanctions

You represent that you are not an organized-crime group member, sanctioned person, unlawful organization, or equivalent party, and that you will not provide benefits to such parties. The provider may refuse, suspend, or terminate use where relevant risk is suspected.

23. Assignment

You may not assign, lend, transfer, pledge, or otherwise dispose of your status, rights, obligations, Account, Premium subscription, or entitlement under these Terms without prior consent from the provider.

The provider may transfer or assign its status, rights, obligations, and user information as necessary in connection with business transfer, inheritance, organizational change, service migration, asset transfer, outsourcing, or legal requirements.

24. Severability And Entire Agreement

If any part of these Terms is held invalid, illegal, or unenforceable, the remaining parts remain effective. The affected provision will be interpreted as closely as possible to the original intent in a valid manner.

These Terms, the Privacy Policy, Refund Policy, Specified Commercial Transactions Act disclosure, in-app notices, store listings, and payment-screen terms form the agreement regarding use of the App. Individual purchase terms, store terms, and mandatory law may prevail in the event of conflict.

25. Governing Law And Jurisdiction

These Terms are governed by the laws of Japan. Unless applicable consumer protection law requires otherwise, the Tokyo District Court has exclusive jurisdiction as the court of first instance for disputes arising out of or relating to the App or these Terms.

Nothing in these Terms limits rights you may have under mandatory laws of your place of residence.

26. Language

The Japanese version of these Terms is the reference version. If translations conflict, the Japanese version controls unless applicable law requires otherwise. A translated or local-language version may prevail where mandatory law in your jurisdiction requires it.

27. Contact

For questions about these Terms, privacy, licenses, data management, refunds, Premium, or account deletion, use the contact address above. Formal support requests are accepted by email.
